Article 1 – Definitions

In these terms and conditions, the following definitions apply:

• NatureSmartShop.com: a trade name of Webvisie Distribution, registered with the Dutch Chamber of Commerce under number 61419060.
• Buyer: the natural person of 18 years or older who is not acting in the exercise of a profession or business and who enters into a (distance) agreement with the Seller.
• Seller: Webvisie Distribution, the provider of products via NatureSmartShop.com, including but not limited to smartshop and headshop products, grow kits, truffles, seeds, herbs, natural supplements, and accessories.
• Offer: any written or online proposal to the Buyer for the supply of Products.
• Agreement: any purchase agreement concluded between the Buyer and NatureSmartShop.com concerning the sale and delivery of products.
• Website: the webshop operated by the Seller at www.naturesmartshop.com.

Article 2 – Applicability

• These general terms and conditions apply to all offers, agreements, and deliveries by NatureSmartShop.com.
• Before an agreement is concluded, the Buyer will be provided with these terms and conditions or notified of their availability on the Website.
• If specific product or service conditions apply in addition to these general terms, the Buyer may always invoke the condition most favorable to them in case of contradiction.
• If any provision in these terms is found to be wholly or partially invalid, the remaining provisions shall remain in full force.
• In case of ambiguity or situations not covered by these terms, interpretation shall be made in the spirit of these terms and conditions.

Article 3 – The Offer

• All offers by NatureSmartShop.com are non-binding unless explicitly stated otherwise.
• An agreement is only established upon written or electronic confirmation of the order by the Seller.
• Product descriptions, photos, and pricing in the Offer are provided with care but may differ slightly from actual products. No rights can be derived from typographical or display errors.
• Delivery times stated in the Offer are indicative.
• NatureSmartShop.com reserves the right to cancel or reject orders without entitlement to compensation.

Article 4 – Formation of the Agreement

• An agreement is concluded when the Buyer accepts an Offer via the Website or other channels and payment is received.
• The Seller may assess whether the Buyer can meet their payment obligations before finalizing the agreement.
• The Buyer has the right to withdraw from the agreement within 14 days after receiving the product, unless excluded by law (e.g., perishable or sealed goods).

Article 5 – Execution of the Agreement

• The Seller will fulfill the agreement to the best of its abilities.
• The Seller may engage third parties for execution.
• The Buyer must provide all necessary information for the execution of the agreement on time.
• The Seller is not liable for damages due to incorrect or incomplete information provided by the Buyer.

Article 6 – Delivery

• Delivery takes place from the Seller’s warehouse.
• Delivery times are estimates and not binding.
• Buyer must accept delivery upon availability.
• If the Buyer refuses delivery or causes delay, the Seller may store the products at the Buyer’s expense.
• Delivery costs are stated separately, unless agreed otherwise.
• Delivery is made to the doorstep unless otherwise agreed.

Article 7 – Inspection and Complaints

• Buyer must inspect products within 14 days of receipt.
• Visible defects must be reported within 14 days; hidden defects must be reported immediately upon discovery.
• Returns must include all original packaging and accessories.
• Hygiene-sensitive products may not be returned if the seal is broken.

Article 8 – Pricing

• Prices include VAT unless stated otherwise.
• Price changes due to VAT or raw material costs may occur.
• Obvious pricing errors do not bind the Seller.

Article 9 – Payment and Collection

• Payment is due immediately unless otherwise agreed.
• In case of late payment, statutory interest and collection costs may be charged.
• The Seller retains the right to suspend or terminate agreements in the event of default.

Article 10 – Retention of Ownership

• Products remain the property of the Seller until full payment is received.
• The Buyer may not pledge or resell products before ownership has transferred.

Article 11 – Warranty and Liability

• The Seller guarantees product compliance as far as reasonably possible.
• No guarantee is given for misuse, improper storage, or alteration by the Buyer.
• The Seller is not liable for indirect or consequential damages, unless legally required.

Article 12 – Suspension and Termination

• The Seller may suspend or cancel agreements if the Buyer fails to meet their obligations.
• Agreements may be terminated if fulfillment is impossible due to unforeseen circumstances.

Article 13 – Force Majeure

The Seller is not liable for delays or non-performance due to force majeure, including but not limited to natural disasters, war, internet outages, government restrictions, or supplier failure.

Article 14 – Privacy

The Seller processes Buyer data in accordance with its privacy policy, available on the Website.

Article 15 – Intellectual Property

• All intellectual property rights remain with the Seller.
• It is forbidden to reproduce, distribute, or alter any content without explicit written permission.

Article 16 – Complaints

• Complaints must be submitted within 7 days of discovery to info@naturesmartshop.com with subject “Complaint”.
• The Seller will respond within 14 days.

Article 17 – Governing Law and Disputes

These terms are governed by Dutch law.

Disputes shall be submitted to the competent court in The Hague, the Netherlands.
